Payment terms for our services will be specified in separate service agreements or invoices. All fees are exclusive of applicable taxes unless otherwise stated. Payment is due within the timeframe specified in your invoice. We reserve the right to suspend services for overdue accounts and charge interest on late payments at the maximum rate permitted by law.
Both parties acknowledge that confidential information may be disclosed during the provision of services. We agree to maintain the confidentiality of your business information and expect the same regarding our proprietary methodologies and business practices. This confidentiality obligation survives the termination of our services.
To the maximum extent permitted by law, SilverZen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services. Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
Our services constitute business consultation and guidance. We do not provide legal, medical, or financial advice. You should consult with qualified professionals in these fields for specific advice related to your circumstances. While we strive to provide accurate and current information, we make no warranties regarding the completeness or accuracy of our guidance.
You agree to indemnify and hold harmless SilverZen, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of Germany. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Munich, Germany. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Either party may terminate the service relationship at any time with written notice. SilverZen reserves the right to terminate services immediately if you breach these Terms. Upon termination, you must cease using our services and return or destroy any confidential materials. Provisions regarding payment, confidentiality, intellectual property, and limitation of liability shall survive termination.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government actions, or technical failures.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
These Terms, together with any separate service agreements, constitute the entire agreement between you and SilverZen regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
